Enterprise AI Platform Agreement
These terms govern the use of NayaFlow's on-premise AI automation platform, including Deep Agents UI, AWS MCP integration, and local LLM deployment services designed for enterprise environments with complete data sovereignty.

1. Acceptance of Terms
By accessing NayaFlow's website, requesting demos, or deploying our on-premise AI automation platform, you accept and agree to be bound by these terms and conditions. These terms apply to:

- • Demo Requests: Scheduling and participating in enterprise demonstrations
- • Platform Deployment: On-premise installation and operation of NayaFlow
- • Support Services: Technical support, training, and consulting services
2. Service Description
NayaFlow provides an enterprise AI automation platform consisting of:

3. License Grant and Restrictions

- • Resell, redistribute, or sublicense the platform
- • Use for illegal activities or malicious purposes
- • Reverse engineer proprietary components
- • Remove or modify copyright notices
- • Provide access to competitors or third parties
- • Use to create competing AI automation platforms
4. Data Sovereignty and Privacy
NayaFlow is designed with complete data sovereignty as a core principle:

- • No External API Calls: Local AI models eliminate third-party data exposure
- • Complete Control: You own and control all data, models, and processing

- • Audit Trail: Complete logging of all AI decisions and data access

7. Limitation of Liability
While we strive for excellence, enterprise software deployments involve inherent risks:

- • NayaFlow's liability is limited to the amount paid for services in the preceding 12 months
- • We are not liable for indirect, consequential, or punitive damages
- • AI-generated outputs should be reviewed before business-critical decisions
- • Customer is responsible for data backup and disaster recovery
- • Force majeure events (natural disasters, government actions) may affect service
8. Compliance and Security
NayaFlow is designed to meet enterprise compliance requirements:

Either party may terminate this agreement with appropriate notice:
- • Customer Termination: 30 days written notice for any reason
- • NayaFlow Termination: 30 days notice for non-payment or material breach
- • Data Retention: Customer retains all data and can continue using deployed systems
- • Support Cessation: Support services end at termination date
- • Refund Policy: Pro-rated refunds for unused annual license periods
10. Updates and Modifications
We may update these terms to reflect changes in our services or legal requirements. Material changes will be communicated with 30 days advance notice to enterprise customers.
11. Governing Law
These terms are governed by the laws of Delaware, United States. Any disputes will be resolved through binding arbitration in Delaware, except for intellectual property disputes which may be pursued in federal court.
